Terms and Conditions

These Terms and Conditions ("Terms") govern your use of services provided by Fractionate LLC ("Fractionate," "we," "us," or "our"), including our website at fractionate.ai and all related communications. By engaging our services, you agree to these Terms.

1. Services

Fractionate provides fractional executive services including CTO, CISO, and COO-level leadership, technology consulting, and operational advisory services. The specific scope, deliverables, and terms of each engagement are defined in a separate service agreement or statement of work ("SOW").

2. Client Obligations

You agree to provide accurate information, timely access to relevant systems and personnel, and prompt communication necessary for the successful delivery of our services. You are responsible for all decisions made based on our advisory services.

3. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information exchanged during the engagement. Specific confidentiality terms may be outlined in your service agreement or a separate NDA.

4. Intellectual Property

Unless otherwise specified in a service agreement, deliverables created during an engagement become the property of the client upon full payment. Fractionate retains the right to use general knowledge, techniques, and methodologies developed during engagements.

5. Payment

Payment terms, rates, and schedules are defined in your service agreement or SOW. Invoices are due upon receipt unless otherwise specified. Late payments may incur additional fees as outlined in your agreement.

6. Limitation of Liability

To the maximum extent permitted by law, Fractionate's total liability for any claim arising from our services shall not exceed the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

7. Termination

Either party may terminate an engagement as specified in the applicable service agreement. Upon termination, you remain responsible for payment of services rendered and expenses incurred through the termination date.

9. Governing Law

These Terms are governed by the laws of the State of Michigan. Any disputes arising from these Terms or our services shall be resolved in the courts of the State of Michigan.

10. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the revised Terms.
